These Terms and Conditions govern your access to and use of the ZENDRAL website, our communications, and the professional services provided by ZENDRAL.
By accessing our website, requesting services, accepting a proposal, signing an agreement, submitting an order, paying an invoice, or otherwise engaging ZENDRAL, you agree to be bound by these Terms and Conditions together with any applicable proposal, statement of work, order form, engagement letter, service agreement, Privacy Notice, and other written terms agreed between you and ZENDRAL.
If a separate written agreement between you and ZENDRAL conflicts with these Terms and Conditions, the specific written agreement will take precedence to the extent of that conflict.
ZENDRAL is a business growth consultancy providing services across consulting, marketing, artificial intelligence, automation, technology, business growth, and transformation.
Depending on the nature of an engagement, ZENDRAL may provide services directly or through affiliated entities, employees, consultants, contractors, specialist partners, or approved third party providers.
These Terms and Conditions apply to:
ZENDRAL primarily provides professional services to businesses, organizations, founders, executives, investors, and professional clients.
If you engage ZENDRAL on behalf of a company or other organization, you confirm that you have authority to bind that organization to the applicable agreement.
Nothing in these Terms excludes any rights that cannot lawfully be excluded under applicable consumer protection law where such rights apply.
The precise scope of services will be determined by the relevant proposal, statement of work, agreement, order, or other written confirmation provided by ZENDRAL.
Services may include, without limitation:
Any proposal, quotation, statement of work, engagement letter, or similar document issued by ZENDRAL may specify the scope, deliverables, assumptions, timeline, fees, payment schedule, responsibilities, and other terms applicable to an engagement.
Unless otherwise stated, proposals may be withdrawn or revised by ZENDRAL before acceptance.
An engagement may begin when a proposal is accepted, an agreement is signed, payment is received, written authorization is provided, or work otherwise begins at the client’s request.
If the scope, requirements, timeline, deliverables, assumptions, or client instructions change after an engagement begins, ZENDRAL may revise the fees, schedule, resources, or other terms of the engagement.
Material changes may require a revised proposal, change order, additional statement of work, or written approval before further work is performed.
Clients are responsible for providing ZENDRAL with the information, access, approvals, materials, systems, credentials, decisions, and cooperation reasonably required to perform the agreed services.
You agree that information provided to ZENDRAL will, to the best of your knowledge, be accurate, complete, lawful, and not misleading.
You are responsible for obtaining any internal approvals, licenses, permissions, consents, or third party rights necessary for materials, data, systems, accounts, or instructions supplied to ZENDRAL.
ZENDRAL will not be responsible for delays, additional costs, reduced performance, or other consequences caused by incomplete information, delayed approvals, unavailable access, changing instructions, or failures by the client or third parties under the client’s control.
Fees for ZENDRAL services will be stated in the relevant proposal, agreement, statement of work, invoice, or other written confirmation.
Fees may be structured as fixed project fees, retainers, recurring fees, hourly or daily rates, performance-related fees, implementation fees, or another commercial arrangement agreed between the parties.
Unless otherwise stated, quoted fees do not include applicable taxes, government charges, advertising spend, media spend, software subscriptions, third party services, travel, production costs, or other external expenses.
All fees are exclusive of VAT, sales tax, withholding tax, or other applicable taxes unless expressly stated otherwise.
The client is responsible for paying all taxes, duties, and governmental charges applicable to the services, except taxes based solely on the net income of ZENDRAL.
If withholding is legally required, the client will provide appropriate documentation and cooperate in applying any available treaty relief or tax credit where applicable.
Invoices must be paid according to the payment terms stated on the applicable proposal, agreement, or invoice.
ZENDRAL may require deposits, advance payments, recurring payments, milestone payments, or payment in full before beginning or continuing work.
If payment is overdue, ZENDRAL may suspend services, delay deliverables, restrict access to work product, pause campaigns, or terminate the engagement after providing reasonable notice where appropriate.
Where permitted by law, overdue amounts may be subject to interest, recovery costs, collection expenses, and any other remedies available under the applicable agreement or law.
Advertising spend, media spend, platform charges, creator fees, production expenses, and similar third party costs are separate from ZENDRAL professional fees unless expressly included in writing.
The client remains financially responsible for advertising accounts, platform charges, budgets, payment methods, and media commitments authorized in connection with an engagement.
Advertising platforms may change pricing, policies, algorithms, attribution methods, functionality, or account access without notice to ZENDRAL.
ZENDRAL may use or recommend third party platforms, software, advertising networks, artificial intelligence providers, CRM systems, analytics tools, hosting providers, automation platforms, cloud services, or other technologies.
Third party services are governed by their own agreements, privacy policies, terms, availability, pricing, and technical limitations.
ZENDRAL does not control independent third party providers and is not responsible for their outages, policy changes, security incidents, pricing changes, account suspensions, data practices, technical failures, or discontinued functionality.
ZENDRAL may provide consulting, implementation, integration, development, configuration, or advisory services involving artificial intelligence, machine learning, automation, intelligent agents, or related technologies.
Artificial intelligence systems may produce inaccurate, incomplete, inconsistent, unexpected, or unsuitable outputs. Outputs should be reviewed by appropriately qualified individuals before being relied upon for material business, financial, legal, employment, security, medical, or other significant decisions.
The client is responsible for determining whether a particular use of artificial intelligence is appropriate for its organization and for complying with laws, regulations, internal policies, contractual obligations, and industry requirements applicable to its use.
ZENDRAL does not guarantee that artificial intelligence systems will operate without errors, interruptions, hallucinations, bias, security risks, or changes in performance.
Some artificial intelligence solutions may depend on third party models, platforms, APIs, cloud services, or technology providers.
The availability, functionality, pricing, data policies, model behavior, security controls, and terms of these providers may change independently of ZENDRAL.
Where appropriate, the relevant engagement documentation may specify additional requirements regarding data usage, access controls, model providers, security, or implementation.
Cybersecurity, digital resilience, AI risk, and related services are intended to help clients identify and reduce risk. No cybersecurity measure can eliminate all risk or guarantee that systems will never be compromised.
ZENDRAL does not guarantee that any assessment, recommendation, configuration, system, or security measure will prevent every vulnerability, attack, breach, misuse, or unauthorized access.
Clients remain responsible for their systems, security policies, internal controls, regulatory obligations, backups, incident response, and technology environment unless expressly agreed otherwise in writing.
Marketing, advertising, sales, growth, transformation, consulting, and artificial intelligence services involve factors outside the control of ZENDRAL.
Results may be affected by market conditions, customer behavior, competition, pricing, product quality, sales processes, client decisions, economic conditions, advertising platforms, algorithms, technology, seasonality, data quality, and other factors.
Unless expressly guaranteed in a signed written agreement, ZENDRAL does not guarantee any particular level of revenue, profit, return on advertising spend, conversion rate, ranking, lead volume, valuation, business growth, cost reduction, or other commercial result.
Case studies, examples, projections, estimates, forecasts, or previous client outcomes are provided for illustrative purposes and do not guarantee future results.
Recommendations, forecasts, models, projections, market analyses, and strategic advice provided by ZENDRAL are based on information available at the relevant time and assumptions that may later prove incorrect.
Business decisions remain the responsibility of the client.
Unless expressly agreed otherwise, ZENDRAL does not provide legal, accounting, investment, tax, medical, or regulated financial advice.
Clients should obtain specialist professional advice where appropriate.
The client is responsible for reviewing and approving deliverables, campaigns, copy, creative, designs, strategies, configurations, workflows, advertisements, claims, and other materials before publication or implementation where approval is requested.
Once approval has been provided, ZENDRAL may rely on that approval unless the client subsequently instructs otherwise.
Each party is responsible for complying with the laws and regulations applicable to its own activities.
The client is responsible for ensuring that its products, services, claims, promotions, advertisements, customer communications, data usage, business practices, and instructions comply with applicable law and industry requirements.
ZENDRAL may refuse or discontinue work that we reasonably believe is unlawful, misleading, fraudulent, unsafe, unethical, or inconsistent with applicable platform policies or professional standards.
Unless otherwise agreed in writing, each party retains ownership of intellectual property owned or developed independently before the engagement or outside the scope of the engagement.
ZENDRAL retains ownership of its methodologies, frameworks, systems, processes, templates, tools, software, know-how, techniques, reusable materials, working methods, and intellectual property developed independently of a specific client deliverable.
Where an engagement includes the creation of client-specific deliverables, ownership or licensing rights will be determined by the relevant proposal, agreement, or statement of work.
The client retains ownership of materials, trademarks, content, data, logos, intellectual property, and other assets supplied to ZENDRAL.
By supplying materials to ZENDRAL, the client grants us the rights necessary to use, reproduce, modify, process, host, transmit, or otherwise work with those materials solely as reasonably required to provide the agreed services.
The client represents that it has sufficient rights to provide those materials and authorize their use.
Deliverables may incorporate third party software, fonts, stock assets, plugins, APIs, models, libraries, platforms, licensed content, or other third party intellectual property.
Such materials remain subject to the rights and licenses of their respective owners.
The client may be required to maintain separate licenses or subscriptions for continued use.
Unless restricted by a confidentiality agreement, written client instruction, or other agreement, ZENDRAL may identify a client as a customer and display the client’s name, logo, publicly available work, or non-confidential engagement information for portfolio, credential, award, business development, or case study purposes.
Where confidential or commercially sensitive information is involved, ZENDRAL will not intentionally disclose such information without appropriate authorization.
If a client requires stricter confidentiality regarding public identification, this should be agreed in writing.
Each party may receive confidential or commercially sensitive information from the other in connection with an engagement.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes connected with the engagement.
Confidential information does not include information that:
Each party will comply with applicable data protection and privacy laws relevant to its activities under an engagement.
Where ZENDRAL processes Personal Data on behalf of a client as a data processor, additional data processing terms may apply.
Information regarding how ZENDRAL processes Personal Data as a controller is described in our Privacy Notice.
Information regarding cookies and similar technologies is described in our Cookies Notice.
Where a client provides ZENDRAL with Personal Data or access to systems containing Personal Data, the client represents that it has an appropriate lawful basis and all necessary notices, permissions, and authorizations required to permit the relevant processing.
The client should not provide unnecessary sensitive information or Personal Data that is not reasonably required for the engagement.
Clients are responsible for maintaining appropriate security over passwords, administrator accounts, advertising accounts, APIs, CRM systems, cloud services, payment methods, and other credentials under their control.
Where ZENDRAL is provided access credentials, we will use reasonable measures to protect them and use them only as required for the engagement.
The client should promptly revoke or update access where personnel, permissions, or business requirements change.
You may use the ZENDRAL website only for lawful purposes.
You must not:
Website content is provided for general informational purposes and does not constitute a binding offer, guarantee, or professional advice for your particular circumstances.
ZENDRAL may update, modify, remove, or replace website content at any time without notice.
While we seek to provide accurate information, we do not guarantee that website content is complete, current, error-free, or suitable for every purpose.
The ZENDRAL website may contain links to third party websites or services.
These links are provided for convenience or informational purposes and do not necessarily constitute endorsement.
ZENDRAL is not responsible for the content, security, availability, privacy practices, or terms of independent third party websites.
ZENDRAL may suspend or restrict services where reasonably necessary, including where:
Cancellation and termination rights may be specified in the relevant proposal, agreement, statement of work, or engagement letter.
Unless otherwise agreed, either party may terminate an ongoing engagement by providing reasonable written notice.
ZENDRAL may terminate or suspend an engagement immediately where there is a material breach, non-payment, unlawful activity, misuse, abusive conduct, serious security concern, or other circumstance that reasonably makes continuation inappropriate.
Termination does not affect rights or obligations that arose before termination.
Upon termination, the client remains responsible for:
Subject to full payment of outstanding amounts and applicable contractual terms, ZENDRAL will make reasonable efforts to provide agreed client-owned deliverables or information reasonably required to conclude the engagement.
ZENDRAL is not required to transfer internal working files, proprietary tools, methodologies, internal notes, reusable frameworks, source materials, or intellectual property that has not been transferred to the client under the applicable agreement.
ZENDRAL will perform professional services with reasonable skill and care consistent with the nature of the agreed engagement.
Except as expressly stated in a written agreement and to the maximum extent permitted by law, services and website content are provided without additional warranties, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by applicable law, neither ZENDRAL nor its affiliates, directors, employees, consultants, contractors, or representatives will be liable for indirect, incidental, special, punitive, exemplary, or consequential loss arising from or relating to the website or services.
This may include, where legally permitted, loss of profit, loss of revenue, loss of opportunity, loss of anticipated savings, loss of goodwill, loss of data, business interruption, or similar commercial losses.
Any overall financial limitation on ZENDRAL‘s liability for a particular engagement should be determined by the applicable proposal, agreement, or statement of work.
Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.
The client remains responsible for decisions made based on strategies, recommendations, analyses, reports, forecasts, technologies, campaigns, systems, or other work provided by ZENDRAL.
Where implementation depends on the client’s personnel, systems, vendors, management decisions, funding, or other resources, ZENDRAL cannot be responsible for outcomes caused by factors outside our control.
To the extent permitted by applicable law and subject to any separate written agreement, the client agrees to be responsible for claims, losses, or liabilities arising from materials, instructions, data, products, services, claims, or content supplied by the client where those items infringe third party rights, violate applicable law, or are otherwise unlawful.
Any specific indemnification obligations applicable to an engagement may be further defined in the relevant written agreement.
Neither party will be responsible for delay or failure to perform obligations caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, epidemics, governmental action, internet or telecommunications failures, cyber incidents, utility outages, platform failures, supplier failures, or other events that could not reasonably be prevented.
The affected party will use reasonable efforts to minimize the impact and resume performance when reasonably possible.
ZENDRAL may use qualified contractors, consultants, specialist partners, affiliated entities, or technology providers to support the delivery of services.
Where appropriate, such parties will be subject to relevant confidentiality, data protection, or contractual obligations.
Unless expressly agreed otherwise, ZENDRAL may provide services to other clients, including businesses operating in similar or competing markets.
ZENDRAL will continue to respect applicable confidentiality obligations relating to each client.
Unless expressly agreed otherwise, ZENDRAL acts as an independent contractor.
Nothing in an engagement creates an employment relationship, partnership, joint venture, fiduciary relationship, agency relationship, or authority for either party to bind the other.
Neither party may assign material rights or obligations under an engagement where doing so would materially affect the other party without reasonable notice or consent, except where assignment occurs as part of a merger, acquisition, restructuring, sale of business, or transfer to an affiliated entity, subject to applicable law and contractual terms.
Formal notices relating to an engagement may be delivered by email, through the contact details contained in the relevant agreement, or by another method agreed between the parties.
You are responsible for keeping your business and contact information current.
If you are dissatisfied with a ZENDRAL service or professional interaction, you may raise the matter through our Complaints Channel.
Complaints will be reviewed according to their nature, seriousness, available information, and applicable contractual or legal requirements.
The governing law and jurisdiction applicable to a professional engagement may be specified in the relevant proposal, agreement, statement of work, order form, or engagement letter.
Where no specific governing law or jurisdiction has been agreed, the applicable law and competent jurisdiction will be determined according to the legal entity providing the services and applicable conflict of law rules.
Nothing in this section restricts any mandatory rights or remedies that apply under applicable law.
The parties are encouraged to attempt to resolve disputes in good faith through direct discussion before commencing formal legal proceedings, where appropriate.
Nothing in these Terms prevents either party from seeking urgent injunctive relief, protecting intellectual property, recovering undisputed amounts, complying with legal requirements, or exercising rights that cannot legally be restricted.
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.
A delay or failure by ZENDRAL to exercise a right or remedy does not constitute a waiver of that right or remedy.
A waiver is effective only where clearly agreed and applies only to the specific circumstances for which it was given.
These Terms, together with the applicable proposal, statement of work, engagement letter, order, invoice terms, Privacy Notice, data processing terms, and any other documents expressly incorporated into an engagement, constitute the agreement between the parties regarding the relevant services.
They supersede prior discussions, proposals, communications, or representations relating to the same subject matter except where expressly preserved in writing.
ZENDRAL may update these Terms and Conditions from time to time to reflect changes in our services, business operations, technology, legal obligations, or commercial practices.
The latest version will be published on our website with an updated revision date.
Changes will not retroactively alter material contractual rights under an existing signed agreement unless agreed between the parties or permitted by applicable law.
